1. Agreement to these Terms

These Terms of Service govern access to and use of the Kaizen Ventures website, content, events, consulting services, installation engagements, and related offerings. By using the website or engaging Kaizen Ventures, you agree to these Terms on behalf of yourself or the organization you represent.

If a separately signed agreement applies to a paid engagement, that agreement controls for the covered services and these Terms apply only where they do not conflict.

2. Services and professional judgment

Kaizen Ventures provides strategic AI consulting, agentic workflow installation, events, workshops, and related advisory services. We may recommend architectures, workflows, tools, implementation plans, and operational practices based on the information available during the engagement.

Client results depend on many factors outside our control, including internal adoption, data quality, tool access, operational readiness, and third-party platform behavior. We do not guarantee a specific commercial outcome unless expressly stated in a signed agreement.

3. Client responsibilities

You are responsible for providing accurate information, appropriate access, timely decisions, and authorization for any systems, data, accounts, or personnel required for the work. You remain responsible for business decisions, production approvals, regulatory compliance, and the use of any AI-enabled system inside your organization.

You agree not to provide protected health information, payment card data, government secrets, or other highly regulated data unless we have expressly agreed in writing to handle that category of information.

4. Fees, payment, and scheduling

Published prices, if shown, are informational and may change. Engagements are confirmed when accepted by Kaizen Ventures and, where applicable, after payment or written approval of an invoice, statement of work, or order form.

Unless a signed agreement states otherwise, fees are non-refundable once work begins, workshops are subject to capacity and scheduling constraints, and unpaid invoices may pause delivery.

5. Intellectual property

Kaizen Ventures retains ownership of its pre-existing materials, methods, frameworks, templates, know-how, software utilities, prompts, evaluation patterns, implementation playbooks, and proprietary IP. Subject to full payment, clients receive a non-exclusive license to use deliverables created specifically for their internal business purposes.

Client materials remain the client's property. You grant Kaizen Ventures the limited right to use client materials solely to provide the services, support the engagement, and improve the quality of the deliverables for that engagement.

6. Third-party tools and AI systems

Many agentic systems rely on third-party models, APIs, software platforms, hosting providers, identity providers, communication tools, and data systems. Those tools are governed by their own terms and may change, fail, suspend access, or modify functionality.

Kaizen Ventures is not responsible for third-party platform availability, pricing, security incidents, policy changes, or model behavior outside our reasonable control.

7. Confidentiality and acceptable use

Each party should protect non-public information received from the other with reasonable care. You may not use the website or services to violate law, infringe rights, compromise security, reverse engineer systems, generate unlawful content, or misuse AI systems.

We may refuse or discontinue work that, in our judgment, presents unacceptable legal, safety, security, reputational, or operational risk.

8. Disclaimers and limitation of liability

The website and services are provided on an as-is and as-available basis except as expressly stated in a signed agreement. To the maximum extent permitted by law, Kaizen Ventures disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Kaizen Ventures will not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages. Our aggregate liability for claims relating to the website or services will not exceed the fees paid to Kaizen Ventures for the specific engagement giving rise to the claim in the three months before the event.

9. Governing law and updates

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Disputes will be handled in the state or federal courts located in Delaware unless a signed agreement states otherwise.

We may update these Terms from time to time. The updated version will be effective when posted unless a later date is stated.
